Terms of Service
These terms govern your use of the Vesper API and the Vesper console. They are written to be read, not to be survived — if anything here is unclear, ask before you agree to it.
1Who you are contracting with
Vesper is operated from the United Kingdom and trades as Vesper. In these terms, “we”, “us” and “Vesper” mean that business; “you” means the company or person who holds the account.
You can reach us at hello@meetvesper.co.uk. That address is monitored and is the right one for notices under these terms.
These terms apply to businesses. Vesper is not sold to consumers, and the statutory rights that protect consumers do not apply to a business account.
2What you are licensed to do
While your account is in good standing, we grant you a non-exclusive, non-transferable, revocable licence to call the Vesper API from applications you own or operate, and to play her replies to your own users.
You are renting access. You are not buying Vesper, a copy of her, or any right to her beyond calling her while you pay for it.
3What you may not do
- Resell, sublicense, or otherwise pass on access to anyone else, including through a wrapper or proxy of your own.
- Reverse-engineer, decompile, or attempt to derive her prompts, models or configuration.
- Use her output to train, fine-tune or evaluate a competing assistant or model.
- Present her as your own creation to another business, except under a white-label arrangement we have agreed in writing.
- Use her to generate content that is unlawful, that harasses or endangers a person, or that you would not be willing to defend publicly.
- Send us personal data you have no lawful basis to send, or special category data, without agreeing it with us first.
4Your keys
A key identifies your account. We store only its fingerprint and can never show it to you again after it is created, so keep it somewhere safe and never put it in client-side code, a public repository, or an app bundle a user could unpack.
Calls made with your key are your responsibility, including calls made by somebody who obtained it. If you think a key has leaked, revoke it in the console — it stops working immediately — and create another.
5Allowances and overage
Each plan includes a monthly allowance of spoken and text replies. Spoken replies are metered separately because synthesising speech is what actually costs money; text is bundled generously for the same reason.
Past your allowance, spoken replies are charged at your plan’s overage rate. You may set a spend cap, and we will refuse requests rather than exceed it — your application should be written to cope with being refused.
6Payment
Plans are billed monthly or annually in advance. Overage is billed in arrears for the month in which it was incurred. A setup fee, where it applies, is charged once and is not refundable after integration support has begun.
All prices are in pounds sterling. If an invoice is unpaid 14 days after its due date we may suspend your keys, having told you first.
7Changes to price and service
We may change prices with at least 30 days’ notice by email to your billing contact. If you do not want to continue at the new price, cancel before it takes effect and you will not be charged it.
We improve Vesper continuously, and improvements reach your application without you shipping anything. That means her wording and manner will change over time. If your product depends on her saying a particular thing in a particular way, do not build it that way.
We will give at least 90 days’ notice before removing an endpoint or making a change that would break a correctly written integration.
8Availability
We publish live status at status.meetvesper.co.uk. On the Platform plan we target 99.5% monthly availability; below that tier, availability is provided on a reasonable-efforts basis with no target.
Vesper depends on services we do not control, including Google Cloud. Your application should fall back gracefully when she cannot answer — a voice assistant that breaks your app when it is unavailable is a design problem we cannot fix from our side.
9Your users
Your users are yours. We process what they say only in order to answer them, and we do not contact them, profile them, or use their words to sell anything.
You are the data controller for your users; we are your processor. The terms of that are set out in our Data Processing Agreement, which forms part of these terms.
You must tell your users, in your own privacy notice, that their spoken or typed requests are sent to a third-party provider to be answered.
10Safety features
Vesper recognises phrases associated with crisis and can respond with helplines for the user’s country. This is a safety net, not a clinical service, and it is not a substitute for your own duty of care to your users.
You must not rely on it as your only safeguarding measure, and you must not turn it off unless you handle crisis yourself.
11Ownership
Vesper, her name, her voice, her prompts and everything we build remain ours. Your application, your brand and your users’ content remain yours.
Replies generated for you are yours to use in your product. We do not claim ownership of them, and we do not use the content of your requests to train models.
12Warranties
Vesper is provided as is. She is a language model with a voice, and language models are sometimes wrong, sometimes unhelpful, and occasionally strange. We do not warrant that her answers will be accurate, complete or fit for a particular purpose.
We do warrant that we will support the service properly, act on faults promptly, and tell you honestly when something is broken.
13Liability
Neither of us excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
Subject to that, our total liability to you in any twelve-month period is limited to the fees you paid us in that period. We are not liable for loss of profit, loss of business, loss of goodwill, or for anything indirect.
This is a service costing tens or hundreds of pounds a month. Please do not build something on it where a wrong answer costs someone their money, their health, or their safety.
14Ending the agreement
You may cancel at any time, effective at the end of your current billing period. There is no minimum term and no exit fee. We do not refund part-months.
We may suspend or end your access immediately if you breach these terms — in particular sections 3 and 4 — if payment fails and stays unpaid, or if your use puts the service or another customer at risk. Where the circumstances allow it, we will tell you first and give you a chance to put it right.
On termination your keys stop working and we delete your account data within 30 days, except anything we must keep for tax or legal reasons.
15Law and disputes
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Before either of us goes near a court, we agree to raise the problem in writing and give the other 30 days to fix it. Most things are fixable in an email.
